Reference is made to the Company’s announcements dated 27 October 2023, 27 May 2024, 26 July 2024 and 27 January 2025 in relation to the execution of a binding heads of merger agreement between the Company and Ekovest to explore and negotiate the Proposed Knusford-ECSB Merger as defined therein (“Announcements”). Unless otherwise stated, all terms used herein shall have the same meaning as defined in the Announcements. The Company wishes to announce that the Heads of Merger Agreement has lapsed on 27 July 2025.
